This Agreement outlines the terms and conditions for participation in CNS Exam Advising Services provided by Nutrition Prep Notes (“Provider”).
1. Description of Services
The Provider offers professional virtual (remote) advising services via Microsoft Teams, designed to assist Strategies for Success and Strategies for Success Pro members and students (”Client” or “Clients”) in organizing and planning their preparation for the Certification Examination for Nutrition Specialists, also referred to as the Certified Nutrition Specialist (CNS) examination.
Services may include, but are not limited to:
- Study strategy guidance
- Personalized study planning
- Resource recommendations
- Exam preparation consultation
These services are educational in nature and are intended to support the client’s independent exam preparation.
2. No Guarantee of Exam Results
The Client acknowledges that participation in advising services does not guarantee passing the CNS examination or achieving any specific score or outcome.
Exam performance depends on multiple factors, including, but not limited to:
- Individual study effort
- Prior academic preparation
- Time dedicated to studying
- Test-taking performance
The Provider makes no representations, warranties, or guarantees regarding exam outcomes.
3. Scope of Services & Educational Advising Disclaimer
Scope of Services
Advising services are online and virtual and will take place via Microsoft Teams. By joining the online advising session, you are consenting to the Microsoft Services Agreement found here.
The Client understands that advising services are limited to the scheduled session(s) purchased and consents to ensuring the appropriate communication measures are in place to participate in virtual meetings, including but not limited to: internet service, microphone and audio accessibility, webcam accessibility, etc.
Unless otherwise agreed in writing, services do not include ongoing tutoring, academic instruction, or unlimited support outside of scheduled session(s).
The advising services are intended to support exam preparation and study planning.
These services are not academic instruction, tutoring services, medical advice, nutritional counseling, legal advice, or psychological services.

Educational Advising Disclaimer
Any information discussed during advising sessions is provided for educational and informational purposes only and should not be interpreted as professional or clinical advice.
The Provider does not represent or act on behalf of the Certified Nutrition Specialist (CNS) examination governing body, including the American Nutrition Association or the Board for Certification of Nutrition Specialists.
All exam requirements, eligibility criteria, and exam content are determined solely by the appropriate certifying organization. The Client is responsible for verifying official exam information directly with the governing body.
4. Not Medical, Nutritional, or Professional Advice
The information provided during advising sessions is intended solely for educational purposes related to exam preparation.
These services do not constitute medical, nutritional, legal, psychological, or professional advice, and should not be relied upon as such.
5. Client Responsibilities & Independent Study Disclaimer
The Client agrees that they are solely responsible for:
- Completing their own study and exam preparation
- Verifying official exam requirements with the appropriate certifying body
- Determining whether the services meet their individual needs
The Client acknowledges that success on the examination ultimately depends on their own efforts.
The Client understands and agrees that preparation for the Certified Nutrition Specialist (CNS) examination requires significant independent study and personal effort.
The Provider offers advising services intended to support the Client’s study planning and exam preparation strategy; however, the Client remains solely responsible for completing all required study activities, reviewing course materials, and preparing for the examination.
The Provider does not control the Client’s study habits, time commitment, learning pace, or exam performance. As a result, the Provider makes no guarantees regarding exam readiness, exam performance, or examination outcomes.
By participating in advising services, the Client acknowledges that successful exam preparation depends primarily on the Client’s own independent study and academic effort.
6. Payment Terms
Payment in full is required at the time of scheduling the appointment. If payment for the session is not received 24 hours prior to meeting time, the appointment will be cancelled. You will be notified via the email you signed up with.
All fees are non-refundable once services have been delivered.
7. Cancellation and Rescheduling
Clients and Provider may reschedule or cancel an appointment with at least 24 hours’ notice.
Clients who cancel sessions with less than 24 hours’ notice, miss an appointment, or don’t show up to a session may forfeit the session without a refund. No refunds are guaranteed and are at the sole discretion of Nutrition Prep Notes. If the Provider cancels less than 24 hours’ notice, the Client can choose to reschedule the appointment or receive a refund at no additional cost.
Accommodations can be made for emergency situations.
8. Intellectual Property
All study materials, guides, templates, slides, worksheets, recordings, and other educational resources provided by the Provider are the intellectual property of Nutrition Prep Notes unless otherwise stated.
These materials are provided to the Client for personal educational use only.
The Client may not:
- Copy or reproduce materials,
- Share materials with others,
- Upload materials to public platforms or study groups,
- Sell, distribute, or commercially use any materials,
- Record advising sessions without permission.
Unauthorized distribution or reproduction of materials may constitute a violation of U.S. copyright law.
Access to materials may be revoked without refund if misuse or unauthorized sharing is identified.
Advising sessions will not be recorded, unless mutually agreed upon prior to the session time.
9. Advising Communication & Boundaries Policy
All communication concerning the advising session must take place via email. No social media messenger apps, etc.

Client agrees to be communicative in a timely manner through email and to receive additional follow-up information, handouts, etc. from the session via the email you signed up with, if needed.
Advising services include support only during the scheduled advising session(s) unless otherwise specified.
To ensure fairness and maintain professional boundaries:
- Communication outside scheduled sessions is limited to brief logistical questions related to scheduling or materials.
- Extensive academic questions, study plan revisions, or coaching requests require booking an additional advising session.
The Provider does not offer:
- Unlimited messaging support
- Ongoing tutoring outside scheduled sessions
- On-demand exam preparation assistance
Additional support may be available through separately purchased services.
10. Limitation of Liability
To the fullest extent permitted by law, the Provider shall not be liable for any direct, indirect, incidental, consequential, financial, or special damages arising from participation in advising services.
This includes, but is not limited to:
- Examination results
- Academic performance
- Decisions made based on session discussions, including further paid or nonpaid test prep investments
The Client agrees that their participation is voluntary and assumes full responsibility for their exam preparation. You agree that the liability of Nutrition Prep Notes, if any, arising out of any kind of legal claim (whether in contract, tort or otherwise) in any way connected with the service or the content therein shall not exceed the amount you paid to Nutrition Prep Notes for this service. Nutrition Prep Notes shall not be liable for any amounts billed to your credit card by a third party that was not authorized by you. Please note that while we have made every effort to ensure the accuracy of all information presented in advising sessions, e-learning, and virtual resources, we cannot be held liable for any errors, omissions, or inconsistencies.
11. Indemnification
The Client agrees to indemnify and hold harmless the Provider from any claims, liabilities, damages, or expenses arising from the Client’s participation in advising services, follow-up recommendations, or reliance on information provided.
12. Term and Termination
This Agreement will become effective upon your acceptance of the terms of this Agreement by signing your signature and submitting the agreement form. This agreement will remain in effect while the Participant maintains a current, fully paid online registration to Strategies for Success and Strategies for Success PRO, or until terminated by Nutrition Prep Notes. Nutrition Prep Notes may discontinue or change the availability of sessions to Client, at any time without notice.
12. Security breach
In the instance of a security breach, we will not be held liable for any of your personal information being released or breached. For payment processing, we use Stripe, and you can see their user terms and conditions here.
13. Severability
If any provision in this Agreement is held invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect, and the Agreement shall be deemed reformed by replacing such invalidated or unenforceable provision with a valid and enforceable provision that corresponds as closely as possible to the intentions of the parties as expressed by the invalidated or unenforceable provision.
14. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the state of Georgia, without regard to conflict of law principles.
15. Agreement
By booking and participating in advising services, the Client confirms that they have read, understood, and agree to the terms of this Agreement and are a paid member of Strategies for Success or Strategies for Success PRO.
